- Introduction
|
- The terms and conditions of this document (and other documents referenced here) govern how the Services may be used. All capitalized terms used in this Agreement are defined in the section titled “Definitions” below, or in the text of the section to which those terms apply.

- The Fiado App from which the Services are accessed is governed by the Fiado App Terms & Conditions, found within the Fiado App or the Webpage.
|
- This Agreement includes your agreement to terms and conditions with Fiado, Inc., with regards to the Pay ConFiado Services. Terms and conditions of FiadoMX Services, although those are also accessed through the Fiado App, are set forth, where applicable, in other agreements between you and Fiado SA or between you and Pago ConFiado IFPE. Those other agreements, among other communications between Fiado and you, are accessible in the Fiado App or the Webpage. Your continuing eligibility to use the Services is expressly conditioned upon your compliance with the terms and conditions of your agreements with Fiado SA and with Pago ConFiado IFPE; a breach of any of those agreements with Fiado SA or Pago ConFiado IFPE may also be deemed a breach of this Agreement. Any other reference in this Agreement to the FiadoMX Services or your agreements, if any, with Fiado SA or with Pago ConFiado IFPE, are for information only.

- CLICK-THROUGH AGREEMENT. Please read this Agreement carefully before you start to use the Fiado App, the Webpage, the Platform, or the Services. By accessing, using, or installing any part of the Fiado App or the Webpage; or by clicking the button in the Fiado App indicating your acknowledgement and acceptance of the terms of this Agreement; or by accessing or using the Platform or the Services, you represent that you have been given the opportunity to read this Agreement, that you understand it, and you expressly agree to and consent to be bound by all of the terms of this Agreement. If you do not want to agree to this Agreement, you must not apply to be a Fiado User or otherwise access or use the Services offered on the Platform; nor download, access, use, or install the Fiado App.

- Identification of parties
|
- “User” or ”you” (and ”your”) means you, as user of the Services (especially, but not limited to, the Fiado App).
|
- “Fiado” means Fiado, Inc. and any of its Affiliates, as may apply.
|
- Definitions
|
- “Card Account” or “Card Accounts” means one or more prepaid card accounts, denominated in U.S. Dollars, established in the U.S. through the Issuing Banks in which your funds are held and made available for use within the Pay ConFiado Services, and from which you authorize Fiado, Inc. to pay for FiadoMX Services.
|
- “Affiliates” means entities under the control of Fiado, Inc. (including Fiado SA and Pago ConFiado IFPE).
|
- “Agreement” means these Terms & Conditions of Pay ConFiado.
|
- “Apartadito” means the amount of the funds from your Card Account that you want to “set aside” for the payment for FiadoMX Services used by you in Mexico. This is more fully described in the section titled “Apartaditos” below.
|
- “Fiado App” means a smartphone application (for Apple or Android smartphones) that is a user interface between you and Fiado and that allows you, as an individual consumer, to use the Services for which you are an eligible and approved Fiado User. Under no circumstances may you access the Fiado App or use the corresponding Services when you are physically present in any country that is, at that moment, included in the “Active Sanctions Programs” of the U.S. Treasury Office of Finance and Asset Control (OFAC). The list of those countries can be found at https://ofac.treasury.gov/sanctions-programs-and-country-information

- “Fiado, Inc.” means FIADO, INC. the U.S. corporate entity that owns and manages: the Fiado App; the Webpage; the Platform; the brands, service marks, trademarks, trade dress, logos, and all other intellectual property that is involved in the provision of the Services; and all Pay ConFiado Services based in the U.S.
|
- “FiadoMX”SM means the part of the Services provided by Fiado SA, all of which are transacted in Mexican pesos. To be eligible for FiadoMX Services, you must be (i) a legal resident of Mexico, or a Mexican national (regardless of residence), and (ii) 18 years of age or older.
|
- “Fiado SA” means FIADO S.A. DE C.V., one of the Affiliates that provides Services based in Mexico.
|
- “Fiado User” is the status you receive once Fiado approves your request to access the Fiado App. Fiado reserves the right, in its exclusive discretion, to approve or deny any request to become a Fiado User, for any reason.
|
- “Issuing Bank(s)” means partner bank(s) participating in Pay ConFiado by the issuance of a U.S. Prepaid Card, or the partner bank(s) participating in FiadoMX by the issuance of Mexican payment cards, as the case may be.
|
- “MX Card” means a Mastercard-branded payment card issued through Fiado SA that can be used to withdraw or spend Mexican pesos from your PagoMX digital wallet. The MX Card will only be sent to you in Mexico, but can be used anywhere Mastercard is accepted (subject to OFAC’s “Active Sanctions Programs” and restrictions that may be imposed by any court or government agency having jurisdiction, or by Mastercard or the Issuing Banks).

- “Pago ConFiado IFPE” means PAGO CONFIADO, S.A. DE C.V., INSTITUCIÓN DE FONDOS DE PAGO ELECTRÓNICO, the Affiliate that provides PagoMX in Mexico.
|
- “PagoMX”SM means the digital wallet services provided by Pago ConFiado IFPE in Mexico all of which are transacted in Mexican pesos. To be eligible for PagoMX Services, you must be (i) a legal resident of Mexico, or a Mexican national (regardless of residence), and (ii) 18 years of age or older.
|
- “Pay ConFiado”SM means the part of the Services connected to the U.S. Prepaid Card(s) which are transacted in U.S. Dollars. Refer to the respective Cardholder Agreement(s) from the Issuing Bank(s) of your U.S. Prepaid Card(s), which can be viewed on the Fiado App or the Webpage, for eligibility requirements for Pay ConFiado Services.
|
- “Platform” means the technology platform developed, owned, and managed by Fiado, Inc. which you access from a mobile device running the Fiado App.
|
- “Services” means all of the functions and features of the services provided to you by Fiado once you are approved as a Fiado User. Depending on your User Credentials, you may be eligible to use (i) Pay ConFiado Services only, or (ii) FiadoMX Services together with PagoMX Services only, or (iii) both. The Pay ConFiado Services will be provided by Fiado, Inc., its vendors or partners, and FiadoMX Services and PagoMX Services will be provided by Affiliates of Fiado, Inc. in Mexico, including Fiado SA and Pago ConFiado IFPE, and their respective vendors or partners. Details about individual Services can be found below and in the other agreements between you and Fiado, Inc. or its Affiliates, all of which can be accessed on the Fiado App or the Webpage.

- “U.S. Prepaid Card” means a Mastercard-branded prepaid card that can be used to withdraw or spend U.S. Dollars from your Card Account. The U.S. Prepaid Card will only be sent to you in the U.S. but can be used anywhere Debit Mastercard is accepted (subject to OFAC’s “Active Sanctions Programs” and restrictions that may be imposed by any court or government agency having jurisdiction, or by Mastercard or the Issuing Banks).

- “User Credentials” means the personal data you provide on the Fiado App, including, without limitation:
- your complete legal name (as it appears on your government-issued identification documents);
- your wireless/cellular/mobile phone number;
- your user-defined password;
- your date and country of birth;
- the geolocation of the device you are using to access the Platform;
- the brand and model of the device you are using to access the Platform;
- biometric data (such as photos or videos of your face for facial recognition, recordings of your voice for voice recognition);
- unique government-issued identification numbers; photos or scans of your government-issued identification documents;
- residential address in the U.S. and/or in Mexico;
- and account information with other financial institutions or with services providers in the U.S. and/or in Mexico.
Your User Credentials are subject to verification upon your application to be a Fiado User and from time to time for as long as your User Credentials are active. |
- “Webpage” means the website:

- Overview of Pay ConFiado Services
|
- The Pay ConFiado Services allow people who live in the U.S. to safely store and spend their U.S. Dollars and share them with friends and family in the U.S. or Mexico. [**We recommend that you use the Services only to share money with people you know personally or to spend money with merchants you trust. You should never use the Services to send money to strangers. Please refer to the Fraud Prevention Guide and Platform Risks, available on the Fiado App or the Webpage, to learn more about common frauds and scams and how to prevent becoming a victim.**]

- Description of Fiado Services (U.S.)
|
- In order to start using any of the Pay ConFiado Services, you will first need to add funds to your Card Account. Refer to the Cardholder Agreement from the Issuing Bank of your U.S. Prepaid Card, which can be viewed on the Fiado App or the Webpage, for the detailed terms and conditions of loading and using your U.S. Prepaid Card.
|
- Apartaditos
|
- If you want to make funds available to pay for FiadoMX Services used by you, you will be able to “set aside” Apartaditos (part of the balance of your Card Account). Upon the initiation of any transaction for FiadoMX Services, a portion of those funds sufficient to cover the amount of the transaction (including any applicable fees and charges) will be placed “on hold” and will not be available for other uses. Until that moment, you control these funds, since they are yours, so you can make changes to your Apartaditos at any time until those funds are linked to a transaction. By creating your Apartaditos you are expressly requesting and agreeing to pay your expenditures for FiadoMX Services, including all related fees and charges, with U.S. Dollars from your Apartaditos. In the event that you attempt to initiate a transaction for FiadoMX Services and the balance of your Apartaditos is insufficient, the transaction will be declined; you will have to increase the amount of your Apartaditos to cover any FiadoMX transaction, prior to initiating it.
|
- Every day, Fiado, Inc. will purchase from Fiado SA the right to collect your payment for FiadoMX Services. Pursuant to your request and consent in the previous paragraph, you may make payment in Mexican pesos or U.S. Dollars directly to the account(s) of Fiado, Inc. no later than 9:00 a.m. (U.S. Eastern Time) on the first calendar day following the expenditures; if no such payment is made, you expressly request and authorize Fiado, Inc. to collect from your Apartaditos at 9:00 a.m. (U.S. Eastern Time) on the first calendar day following the expenditures, an amount of U.S. Dollars equivalent to the payments owed in Mexican pesos, including all related fees and charges. (In the event that Fiado, Inc. purchases such right to payment and then collects payment in U.S. Dollars from your Apartaditos, you acknowledge and agree that Fiado, Inc. will realize revenue from the exchange rate used to calculate the conversion from Mexican pesos to U.S. Dollars.
|
- Creating User Credentials and applying to become a Fiado User
|
- When you are applying to become a Fiado User, the Fiado App will collect necessary information to identify you and to verify your identity, and Fiado may, from time to time, request additional information or re-verify the information you have already provided.
|
- The initial information collected may include, without limitation:
- your complete legal name (as it appears on your government-issued identification documents);
- your wireless/cellular/mobile phone number;
- your user-defined password;
- your date and country of birth;
- the geolocation of the device you are using to access the Platform;
- the brand and model of the device you are using to access the Platform;
- biometric data (such as photos or videos of your face for facial recognition, recordings of your voice for voice recognition);
- unique government-issued identification numbers;
- photos or scans of your government-issued identification documents;
- residential address in Mexico and/or in the U.S.; and
- account information with other financial institutions or with services providers in Mexico and/or in the U.S.
This information will be stored as encrypted data on Fiado’s Platform for as long as you remain a Fiado User, or for as long as may be required under Fiado’s documents retention policy, or as required by law. |
- You represent and warrant that:
|
- The User Credentials you provide to Fiado when applying to become a Fiado User and at all other times will be true, accurate, current, and complete. If your information changes, especially your mobile telephone number, you must promptly update your information with Fiado, either on the Fiado App, or by contacting Customer Care. Failure to update your information may be a material breach of this Agreement and may impact your use of the Platform and Services or result in the suspension or termination of your status as a Fiado User.
|
- In order to use Pay ConFiado Services, you are 18 years of age or older.
|
- The funds that you place into your Card Account are received from employment in a lawful occupation, as a gift or inheritance, as prize money, as a judgment or settlement in litigation, or as investment income. Fiado reserves the right to require evidence, at any time, that the funds are not the result of illicit activities.
|
- Neither you nor any member of your immediate family (i.e., parents, children, and spouse) is an elected or appointed Mexican government official;
|
- For as long as you remain a Fiado User, you shall provide to Fiado all aliases or variations in your name that you have used previously, and that you may choose to use.
|
- To help the government fight the funding of terrorism and money laundering activities, U.S. federal law requires all financial institutions to obtain, verify, and record information that identifies each person who opens a Card Account. You agree to provide the required information to open and maintain your Card Account and create your User Credentials and agree to keep such information current. We may share this information with third-party service providers for these purposes.
[NOTE: In the event that you use FiadoMX Services or PagoMX Services, the specific information collected may be different than the information collected for Pay ConFiado Services. Information collected for Pay ConFiado Services shall be subject to the Privacy Notice (Central Bank of Kansas City) for U.S. Prepaid Cards starting with 5323; the Privacy Notice (Patriot Bank, N.A.) for U.S. Prepaid Cards starting with 5179; and Pay ConFiado Privacy Policy, all of which can be found on the Fiado App or the Webpage. Information collected for FiadoMX and PagoMX Services shall be subject to the Aviso de Privacidad Integral para Usuarios de Plataforma “Fiado” that can be found on the Fiado App or the Webpage.] You hereby authorize Fiado, directly or through third parties, to make any inquiries we consider necessary to verify your identity and authenticate your identity information and documentation. When necessary, in our sole determination, we may ask you for further information and documentation about your identity, or we may take steps to confirm and verify your information against third-party databases or through other sources. |
- Security.
|
- Your commitment: You agree not to knowingly or through your negligence allow anyone else to access the Fiado App or your Card Account using your User Credentials, and you also agree you will be solely responsible for any activities or actions taken by any other person as a result of your breach of this obligation. You must notify us immediately of any loss or theft of your U.S. Prepaid Card, or your MX Card, or of suspected unauthorized use of or access to your Card Account or your User Credentials.
|
- Our commitment: We take reasonable measures, including administrative, technical, and physical safeguards to help protect your personal data from loss, theft, misuse, unauthorized access, disclosure, alteration, and destruction. We maintain strict security standards and procedures with a view to preventing access to your data by anyone, including our staff, unless they are authorized to have that access. We use leading technologies such as (but not limited to) data encryption, firewalls, and server authentication to protect the security of your data.
|
- Language. This Agreement and other documents provided to you by Fiado from time to time will be provided in English and in Spanish. For terms pertaining to FiadoSM, Pay ConFiadoSM, the Pay ConFiadoSM Services, the Fiado App, or any of the intellectual property related to any of them, or the U.S. Prepaid Card, the English version controls, and any discrepancy or conflict between the English version and the Spanish version will be resolved giving preference to the English version. For terms pertaining to FiadoMX or PagoMX Services, or the MX Card, the Spanish version controls, and any discrepancy or conflict between the English version and the Spanish version will be resolved giving preference to the Spanish version.
|
- Governing Law and Jurisdiction
|
- This Agreement shall be governed by and construed in accordance with the laws of the State of New York, United States of America without giving effect to the conflict of laws principles thereof.
|
- Any disputes or claims arising out of this Agreement shall be heard in arbitration or in a court having jurisdiction in the City and State of New York, United States of America.
|
- Closing your Card Account and terminating your status as a Fiado User.
|
- You may close your Card Account and terminate your relationship with us as a Fiado User, but you will remain liable for all your obligations even after the Fiado User relationship is terminated. Any incomplete transactions or transfers must be completed or canceled, and you must transfer or withdraw any money from your Card Account before closing it. You will be prevented from closing your Account and terminating your relationship with us as a Fiado User, under the following circumstances, for so long as those circumstances continue unresolved:

- If you, your Card Account, or any of your activity on the Platform is under investigation;
|
- If there is any pending transaction or an open dispute or claim;
|
- If you owe amounts to us; and
|
- If your Account or User Credentials are under suspension.
|
- If your Account is closed or your status as a Fiado User is revoked for any reason, your associated U.S. Prepaid Card will be canceled. Likewise, your MX Card will be canceled.
|
- No Waiver. Fiado’s failure to enforce or decision not to enforce any of Fiado’s rights under this Agreement at any time shall not be a waiver of any other rights or claims or enforcement at any other time.
|
- Prevention of Illicit Activity.
|
- We review transactions on all Accounts at our discretion, with the specific objectives of preventing illicit activities, including, without limitation:
When we identify a transaction that we deem to be potentially high-risk of illicit activity, we review the transaction more closely, and we may contact you to request additional information, we may cancel the transaction, and in extreme cases we may suspend or close an Account and revoke Fiado User status. We may also be legally required to file reports to government authorities: - of suspicious activity on an Account,
- of activity that exceeds certain amounts or is of certain character as set forth by law or regulation,
- when a person applying to be a Fiado User or an existing Fiado User has been found included on any list of sanctioned persons or jurisdictions maintained by the US or Mexican government, including without limitation, the US Treasury Office of Finance and Asset Control (OFAC), or the United Nations, or
- of the suspension or closing of an Account or revocation of status as a Fiado User.
|
- No Commercial Use; No Entities; No Third-Party Transactions. The Services are exclusively for the use of individual natural persons, acting in their own name and not on behalf of any person, business entity, or government, and only for personal (not business) purposes. If you use the Services in the capacity of agent or representative of another, or as part of a commercial enterprise, in violation of this paragraph, your Account will be closed, your User Credentials will be revoked, and you will be barred from using our Services.

- Entire Agreement. This Agreement expresses the entire agreement between you and Fiado, and it supersedes all prior agreements, oral or written, as to its subject matter.
|
- Invalidity. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will be interpreted as if the invalid or unenforceable provisions were never included, will be adjusted to the minimum extent necessary to preserve the original intent and effect of the entire Agreement, and shall remain in full force and effect.
|
- No Third-Party Beneficiaries. The terms of this Agreement inure to you, to Fiado, Inc., and to each one’s respective agents, successors, and permitted assigns. No right or interest is created in any other party, and neither you nor Fiado, Inc. will cause or allow any other party to make any claims arising from this Agreement, deriving from your or our respective rights hereunder.

- Modifications. Fiado may modify this Agreement from time to time and, except as otherwise required by law, without the obligation to provide to you advance notice of such action. The current version of this Agreement and of any other agreements or disclosures between you and Fiado can be viewed on the Fiado App or the Webpage. By accessing or using the Webpage, the Fiado App, the Platform, or the Services following the effective date of any modification, you accept and agree to be bound by the terms and provisions of such modification, regardless of whether or not you were aware of the revisions.
