0. Introducción
0.1. Los términos y condiciones de este documento (y otros documentos a los que se hace referencia aquí) rigen cualquier acceso, interacción o uso de los sitios web, la Aplicación Pay ConFiado, la plataforma tecnológica y otra propiedad intelectual de Fiado, así como el acceso a los Servicios. Todos los términos en mayúscula utilizados en este Acuerdo se definen en la sección titulada “Definiciones” a continuación, o en el texto de la sección a la que se aplican dichos términos.
0.2. Los Servicios a los que se accede desde la Plataforma se rigen por los Términos y Condiciones de Pay ConFiado, que se encuentra aquí, o los Términos y Condiciones – FIADO SA, que se encuentra aquí (colectivamente, los “T&C Totales de Servicios”). En caso de conflicto entre este Acuerdo y cualquiera de los T&C Totales de Servicios antes mencionados, los términos y condiciones de los T&C Totales de Servicios regirán y prevalecerán.
0.3. Este Acuerdo incluye su acuerdo con los términos y condiciones con Fiado, Inc., con respecto a los Servicios basados en los Estados Unidos de América. Los términos y condiciones de los Servicios basados en otros países, aunque también se accede a ellos a través de la Aplicación Pay ConFiado, se establecen, cuando corresponda, en otros acuerdos entre usted y los Afiliados de Fiado en esos países. Esos otros acuerdos, entre otras comunicaciones entre Fiado y usted, están accesibles en la Aplicación Pay ConFiado. Su elegibilidad continua para usar los Servicios está expresamente condicionada a su cumplimiento de los términos y condiciones de sus acuerdos, si los hubiere, con los Afiliados de Fiado; el incumplimiento de cualquiera de esos acuerdos con los Afiliados de Fiado también puede considerarse un incumplimiento de este Acuerdo. Cualquier otra referencia en este Acuerdo de usuario de la aplicación Pay ConFiado a los Servicios basados en otros países o sus acuerdos, si los hubiere, con Afiliados de Fiado, son solo para información.
0.4. ACUERDO DE CLICK-THROUGH. Lea este Acuerdo detenidamente antes de comenzar a utilizar la Aplicación Pay ConFiado, la Plataforma o los Servicios. Al acceder, usar o instalar cualquier parte de laAplicación; o haciendo clic en el botón en la Aplicación Pay ConFiado indicando su reconocimiento y aceptación de los términos de este Acuerdo; o al acceder o utilizar la Plataforma o los Servicios, usted declara que se le ha dado la oportunidad de leer este Acuerdo, que lo entendió y que acepta y consiente expresamente en estar sujeto a todos los términos de este Acuerdo. Si no desea aceptar este Acuerdo, no debe solicitar ser un Usuario de Fiado, crear Credenciales de Usuario de Fiado o acceder o utilizar los Servicios ofrecidos en la Plataforma; ni descargar, acceder, usar o instalar la Aplicación Pay ConFiado.
0.5. Este Acuerdo complementa y debe interpretarse de acuerdo con los términos de todos los demás acuerdos aplicables que recibió de nosotros, incluidos, entre otros:

Términos y Condiciones – FIADO SA
1. Identificación de las partes
1.1. “Usuario” o “usted” (y “su”) significa usted, como usuario de los Servicios (especialmente, pero no limitado a, la Aplicación Pay ConFiado), y como parte responsable de las personas a las que invita y autoriza para participar en algunos de los Servicios bajo su responsabilidad.
1.2. “Fiado” significa Fiado, Inc. y cualquiera de sus Filiales, según corresponda.
2. Definiciones
2.1. “Cuenta” o “Cuentas” significa una o más cuentas bancarias, denominadas en dólares estadounidenses, establecidas en los EE. UU. por Fiado, Inc. y usted, en las que se mantienen sus fondos, están disponibles para su uso dentro de los Servicios, y desde las cuales usted autoriza a Fiado, Inc. a pagar a los Afiliados de Fiado por los Servicios basados en otros países.
2.2. “Afiliados” significa entidades bajo el control de Fiado, Inc. (incluyendo Fiado SA).
2.3. “Acuerdo” significa este Acuerdo de usuario de la aplicación Pay ConFiado.
2.4. “Aplicación” significa una aplicación de teléfono inteligente (para teléfonos inteligentes Apple o Android) que es una interfaz de usuario entre usted y Fiado. Estos pueden incluir, entre otros, la Aplicación Pay ConFiado. En ningún caso podrá acceder a la Aplicación Pay ConFiado o utilizar los Servicios correspondientes cuando se encuentre físicamente presente en cualquier país que se encuentre, en ese momento, incluido en los “Programas de Sanciones Activas” de la Oficina de Finanzas y Control de Activos del Tesoro de EE. UU. (OFAC). La lista de esos países se puede encontrar aquí.
2.5. “Aplicación Pay ConFiado” es la Aplicación que le permite a usted, como consumidor individual, utilizar los Servicios para los cuales es un Usuario de Fiado elegible y aprobado.
2.6. “Fiado, Inc.” significa FIADO, INC. la entidad corporativa estadounidense que posee y administra: la Aplicacion Pay ConFiado; la plataforma; las marcas, marcas de servicio, marcas registradas, imagen comercial, logotipos y toda otra propiedad intelectual que esté involucrada en la prestación de los Servicios; y todos los Servicios basados en los EE. UU.
2.7. “Fiado SA” significa FIADO S.A. DE C.V., el Afiliado que presta todos los Servicios con base en México.
2.8. “Usuario de Fiado” es el estado que recibe una vez que Fiado aprueba su solicitud para acceder a la Aplicación Pay ConFiado. Fiado se reserva el derecho, a su exclusivo criterio, de aprobar o denegar cualquier solicitud para convertirse en Usuario de Fiado, por cualquier motivo.
2.9. “Plataforma” se refiere a la plataforma tecnológica desarrollada, propiedad y administrada por Fiado, Inc. a la que accede desde la Aplicación Pay ConFiado.
2.10. “Servicios” hace referencia a todas las funciones y características de los servicios para los que es elegible y aprobado, proporcionados por Fiado, una vez que haya sido aprobado como Usuario de Fiado. Dependiendo de sus Credenciales de usuario de Fiado, puede ser elegible para usar los Servicios correspondientes a la Aplicación Pay ConFiado. Los Servicios basados en los EE. UU. serán proporcionados por Fiado, Inc., sus Afiliados, proveedores o socios; Los servicios basados en México serán proporcionados por Afiliados de Fiado, Inc. en México, incluyendo Fiado SA, y sus respectivos proveedores o socios; y los Servicios basados en otros países serán proporcionados por Afiliados en esos países y sus respectivos proveedores o socios. Los detalles sobre los Servicios individuales se pueden encontrar en los T&C Totales de Servicios y los otros acuerdos entre usted y Fiado, Inc. o sus Afiliados, a los cuales se puede acceder en la Aplicación Pay ConFiado.
3. Creación de credenciales de usuario de Fiado y solicitud para convertirse en usuario de Fiado
3.1. Cuando solicite convertirse en un Usuario de Fiado, la Aplicación Pay ConFiado recopilarán la información necesaria para identificarlo y verificar su identidad, y Fiado puede, de vez en cuando, solicitar información adicional o volver a verificar la información que usted ya ha proporcionado.
3.2. La información inicial recopilada puede incluir, entre otros: su nombre legal completo (tal como aparece en sus documentos de identificación emitidos por el gobierno); su número de teléfono inalámbrico/celular/móvil; su fecha y país de nacimiento; la geolocalización del dispositivo que está utilizando para acceder a la Plataforma; datos biométricos (como fotos o videos de su rostro para reconocimiento facial, grabaciones de su voz para reconocimiento de voz); números de identificación únicos emitidos por el gobierno; y fotos o escaneos de sus documentos de identificación emitidos por el gobierno. Esta información se almacenará como datos encriptados en la Plataforma de Fiado mientras usted siga siendo un Usuario de Fiado, o durante el tiempo que sea requerido por la política de retención de documentos de Fiado, o según lo exija la ley.
3.3. Usted declara y garantiza que:
3.3.1. Las Credenciales de usuario de Fiado que proporcione a Fiado cuando solicite convertirse en Usuario de Fiado y en cualquier otro momento serán verdaderas, precisas, actuales y completas. Si su información cambia, ESPECIALMENTE SU NÚMERO DE TELÉFONO INALÁMBRICO/CELULAR/MÓVIL, debe actualizar su información de inmediato con Fiado, ya sea en la Aplicación Pay ConFiado, o comunicándose con Atención al Cliente. La falta de actualización de su información puede ser un incumplimiento material de este Acuerdo y puede afectar su uso de la Plataforma y los Servicios, o resultar en la suspensión o terminación de su estado como Usuario de Fiado y el cierre de su Cuenta.
4. Acceso a su dispositivo. La(s) Aplicación(es) pueden solicitar el acceso a varias funciones de su computadora, tableta o dispositivo inalámbrico/celular/móvil (por ejemplo, la cámara, el micrófono o el GPS integrados). Usted acepta otorgar acceso en todos los casos.
5. Notificaciones push. Al aceptar y estar de acuerdo con este Acuerdo, acepta recibir notificaciones automáticas de nosotros en su dispositivo inalámbrico/celular/móvil o navegador de Internet.
6. Actualizaciones. De vez en cuando, Fiado puede actualizar automáticamente la versión de la Aplicación Pay ConFiado (“Actualizaciones”) en cualquier dispositivo que esté utilizando para acceder a ellas. Las actualizaciones pueden contener, entre otros, correcciones de errores, parches, funciones mejoradas, complementos y nuevas versiones de la Aplicación Pay ConFiado. Al instalar la Aplicación Pay ConFiado, usted autoriza la descarga e instalación automáticas de actualizaciones y acepta descargar e instalar actualizaciones manualmente si es necesario. También reconoce y acepta que utilizará las versiones más recientes del sistema operativo y los controladores para todos y cada uno de los dispositivos que utilice para acceder a la Plataforma.
7. Conducta del Usuario. Usted acepta que es responsable de su propia conducta al utilizar la Aplicación Pay ConFiado, la plataforma o los servicios y de cualquier consecuencia que surja de su conducta. Asimismo, usted es responsable de la conducta de cualquier persona a la que permita usar la Aplicación Pay ConFiado, la Plataforma, los Servicios o sus Credenciales de Usuario de Fiado, ya sea a sabiendas o por negligencia. Usted acepta usar Aplicación Pay ConFiado, la Plataforma y los Servicios solo para fines que sean legales, adecuados y de conformidad con este Acuerdo, los T&C Totales de Servicios, cualquier otro acuerdo entre usted y Fiado, y con las leyes, regulaciones, reglas, políticas o pautas aplicables (incluidas las reglas de uso establecidas en las tiendas de aplicaciones en línea, por ejemplo, Apple App Store y Google Play, términos de servicio, de vez en cuando). A modo de ejemplo, y sin limitación, usted acepta que al usar Aplicación Pay ConFiado, la Plataforma o los Servicios, no: (i) ingresará, almacenará ni transmitirá ninguna información o material que pueda perjudicar, sobrecargar dañar, deshabilitar, comprometer, interferir o interrumpir la integridad o el rendimiento de Aplicación Pay ConFiado o la Plataforma, o el uso y disfrute de la Plataforma, los Servicios o Aplicación Pay ConFiado por parte de terceros; o de los servicios y productos de terceros, incluidos, entre otros, cualquier dispositivo a través del cual acceda a la Aplicación o (ii) use cualquier robot, araña, aplicación de búsqueda/recuperación de sitios u otro dispositivo o método para recuperar, extraer, indexar copiar, o empotrar cualquier parte de las Aplicaciones o los servicios, o recopilar información sobre cualquiera de ellos o sobre cualquier usuario autorizado de cualquiera de ellos, o sobre cualquier cliente, socio o contratista externo de Fiado, para cualquier propósito no autorizado
8. Idioma: Este Acuerdo y otros documentos que Fiado le proporcione de vez en cuando se proporcionarán en inglés y en español. Para los términos relacionados con los Servicios basados en los EE. UU., Aplicación Pay ConFiado o cualquier propiedad intelectual relacionada con cualquiera de ellos, la versión en inglés controles, y cualquier discrepancia o conflicto entre la versión en inglés y la versión en español se resolverá dando preferencia a la versión en inglés.
9. Ley aplicable y jurisdicción
9.1. Este Acuerdo se regirá e interpretará de conformidad con las leyes del Estado de Nueva York, Estados Unidos de América, sin dar efecto a los principios de conflicto de leyes del mismo.
9.2. Cualquier disputa o reclamo que surja de este Acuerdo se escuchará en arbitraje o en un tribunal que tenga jurisdicción en la ciudad y el estado de Nueva York, Estados Unidos de América.
10. Reserva de Derechos. Según lo permita la ley, podemos agregar o eliminar, suspender, cancelar, deshabilitar temporalmente o interrumpir de forma permanente cualquier funcionalidad, o imponer condiciones a Aplicación Pay ConFiado, la Plataforma o cualquier característica o aspecto de un Servicio, en cualquier momento sin previo aviso y sin responsabilidad para usted. Tomaremos las medidas razonables para notificarle dichos cambios; sin embargo, si el cambio se realiza por motivos de seguridad, podemos implementar dicho cambio sin previo aviso. Además de las notificaciones automáticas enviadas a su dispositivo inalámbrico/celular/móvil, los correos electrónicos enviados a la dirección de correo electrónico que proporcionó en sus Credenciales de usuario de Fiado (si corresponde), o el correo impreso entregado a la dirección residencial que usted proporcionó, las notificaciones y la mayoría las versiones actuales de todos los acuerdos y divulgaciones que le proporcionó Fiado están disponibles para su revisión en Aplicación Pay ConFiado.
11. Derechos de propiedad intelectual.
11.1. Por la presente, reconoce que Fiado, Inc. es propietario de todos los derechos, títulos e intereses sobre Aplicación Pay ConFiado, la Plataforma (colectivamente, para los fines de esta sección, el “Software”) y sobre cualquier y toda la información confidencial y de propiedad exclusiva contenida en el mismo que esté protegida por las leyes estadounidenses e internacionales aplicables (y los tratados correspondientes), incluidas, entre otras, la ley de patentes, la ley de derechos de autor, la ley de secretos comerciales, la ley de marcas registradas y la ley de competencia desleal, y cualquier y todas las aplicaciones, renovaciones, extensiones y restauraciones de los mismos, ahora o en el futuro en vigor y efecto en todo el mundo. Usted acepta que no (y no permitirá que ningún tercero) (i) modifique, adapte, traduzca o prepare trabajos derivados de (por ej., extrayendo datos de páginas web mostradas, o “screen scraping”), o descompile, realice ingeniería inversa, realice compilaciones inversas o desensamble el Software, o intente de otra manera derivar código fuente del Software; (ii) copiar, distribuir, transferir, vender o licenciar el Software; (iii) tomar cualquier medida para eludir, comprometer o anular cualquier medida de seguridad implementada en el Software; (iv) eliminar, ocultar o alterar los avisos de derechos de propiedad de Fiado (o de terceros) en el Software.
11.2. Los nombres y logotipos de Fiado son marcas de servicio o marcas registradas de Fiado, Inc., y no se pueden copiar, imitar ni utilizar, en su totalidad o en parte, sin el permiso previo por escrito de Fiado, Inc. Además, todos los encabezados de página y pies de página, gráficos personalizados, íconos de botones y scripts que se encuentran en el Software son marcas de servicio, marcas registradas o imágenes comerciales de Fiado, Inc., y no se pueden copiar, imitar o usar, en su totalidad o en parte, sin el consentimiento previo por escrito. permiso de Fiado, Inc.
12. Política de Privacidad y Confidencialidad
12.1. Reconocemos que su información de identificación personal (incluida la información financiera, biométrica y otra información de identidad) debe mantenerse confidencial y que las leyes y regulaciones federales (por ejemplo, la Ley Gramm-Leach-Bliley) y estatales de EE. UU. nos exigen que protejamos esa información. de varias maneras. Nuestras obligaciones de confidencialidad con usted y nuestras políticas de privacidad están contenidas en la Política de Privacidad de Pay ConFiado, que se incorpora aquí como referencia.
13. Seguridad. Usted acepta: (i) no permitir, a sabiendas o por su negligencia, que nadie más acceda a sus Credenciales de usuario de Fiado o a su(s) Cuenta(s), (ii) se asegurará de que cualquier persona con acceso a la Plataforma, Aplicación Pay ConFiado o los Servicios bajo su autoridad no permitirá a sabiendas o por su negligencia que nadie más acceda a sus Credenciales de usuario de Fiado o a sus Cuentas; y (iii) usted será el único responsable de cualquier actividad o acción realizada a causa de dicho acceso como resultado de su incumplimiento de esta obligación. Notifíquenos de inmediato sobre cualquier sospecha de uso o acceso no autorizado a sus Credenciales de usuario de Fiado o su(s) cuenta(s).
14. Suspensión y Terminación.
14.1. Fiado se reserva el derecho de suspender, revocar o rescindir su condición de Usuario de Fiado, sus Credenciales de Usuario de Fiado y su acceso a la Plataforma y los Servicios en cualquier momento y por cualquier motivo lícito, sin la obligación de avisarle con antelación o explicación de tal acción.
14.2. Puede cancelar este Acuerdo a través de Aplicación Pay ConFiado, o comunicándose con Atención al Cliente. Su rescisión de cualquier Credencial de usuario o Cuenta(s) de Fiado no afectará ninguno de nuestros derechos o sus obligaciones que surjan de este Acuerdo o cualquier otro acuerdo entre usted y Fiado antes de la rescisión.
14.3. La suspensión, revocación o rescisión de su condición de Usuario de Fiado, por cualquier motivo, dará lugar a la suspensión o rescisión de la condición de cualquier persona a la que se haya concedido acceso a la Plataforma, Aplicación Pay ConFiado o los Servicios bajo su autoridad, a menos que se conviertan en calificados y aprobados como Usuarios de Fiado de forma independiente.
15. Descargo de responsabilidad
15.1. USTED ENTIENDE Y ACEPTA EXPRESAMENTE QUE SU USO DE LA APLICACIÓN PAY CONFIADO, LA PLATAFORMA Y LOS SERVICIOS ES BAJO SU PROPIO RIESGO Y BAJO NINGUNA CIRCUNSTANCIA FIADO SERÁ RESPONSABLE DE (Y USTED LIBERA A FIADO Y RENUNCIA A CUALQUIER DERECHO DE TRAER CUALQUIER RECLAMOS POR, CUALQUIER RESPONSABILIDAD DERIVADA DE) CUALQUIER CÓDIGO O CONTENIDO DEL MISMO, INCLUYENDO CUALQUIER ERROR U OMISIÓN EN CUALQUIER CÓDIGO O CONTENIDO, O CUALQUIER PÉRDIDA O DAÑO DE CUALQUIER TIPO INCURRIDO COMO RESULTADO DEL USO DE LA APLICACIÓN PAY CONFIADO O EL PLATAFORMA.
15.2. LOS SERVICIOS Y EL CONTENIDO (INCLUIDOS LOS DE TERCEROS) Y TODOS LOS MATERIALES, LA INFORMACIÓN, LOS PRODUCTOS Y LOS SERVICIOS INCLUIDOS EN ELLOS, SE PROPORCIONAN PARA SU CONVENIENCIA ÚNICAMENTE “TAL CUAL” Y “SEGÚN DISPONIBILIDAD”. EN LA MEDIDA MÁXIMA PERMITIDA POR LA LEY APLICABLE. FIADO RENUNCIA EXPRESAMENTE TODA GARANTÍA DE CUALQUIER TIPO, YA SEA EXPLÍCITA O IMPLÍCITA, RELACIONADA CON LOS SERVICIOS Y EL CONTENIDO, INCLUIDAS, ENTRE OTRAS, LAS GARANTÍAS IMPLÍCITAS DE COMERCIABILIDAD, IDONEIDAD PARA UN FIN DETERMINADO Y NO VIOLACIÓN. FIADO Y SUS TERCEROS CONTRATADOS NO OFRECEN GARANTÍA NI GARANTIZAN QUE (I) LA APLICACIÓN PAY CONFIADO O LOS SERVICIOS CUMPLIRÁN CON SUS REQUISITOS, (II) LOS SERVICIOS SERÁN ININTERRUMPIDOS, OPORTUNOS, SEGUROS O LIBRES DE ERRORES, (III) LOS RESULTADOS QUE PUEDE OBTENERSE DEL USO DE LOS SERVICIOS SERÁ PRECISO O CONFIABLE, (IV) LA CALIDAD DE CUALQUIER PRODUCTO, SERVICIO, INFORMACIÓN U OTRO MATERIAL COMPRADO U OBTENIDO POR USTED A TRAVÉS DEL USO DE LOS SERVICIOS CUMPLIRÁ CON SUS EXPECTATIVAS, O (V) SE CORREGIRÁN CUALQUIER ERROR EN LA TECNOLOGÍA. CUALQUIER MATERIAL DESCARGADO U OBTENIDO DE OTRO MODO A TRAVÉS DEL USO DE LOS SERVICIOS SE REALIZA BAJO SU PROPIA DISCRECIÓN Y RIESGO Y USTED ES EL ÚNICO RESPONSABLE DE CUALQUIER DAÑO A SU DISPOSITIVO INALÁMBRICO/CELULAR/MÓVIL O SISTEMA INFORMÁTICO , O DE LA PÉRDIDA DE DATOS QUE RESULTE DE LA DESCARGA DE CUALQUIER MATERIAL. NINGÚN CONSEJO O INFORMACIÓN, YA SEA ORAL O ESCRITO, OBTENIDO POR USTED DE FIADO O CUALQUIERA DE SUS TERCEROS CONTRATADOS, A TRAVÉS DE LA PLATAFORMA O DE LA PLATAFORMA, CREARÁ NINGUNA GARANTÍA NO EXPRESAMENTE ESTABLECIDA EN ESTOS TÉRMINOS.
15.3. LIMITACIÓN DE RESPONSABILIDAD. EN LA MEDIDA MÁXIMA PERMITIDA POR LA LEY APLICABLE, USTED ACEPTA QUE NI FIADO NI SUS TERCEROS CONTRATADOS NI NINGUNO DE SUS RESPECTIVOS AFILIADOS O AGENTES SERÁN RESPONSABLES DE CUALQUIER DAÑO QUE LOS ABOGADOS Y LOS TRIBUNALES A MENUDO LLAMEN DIRECTO, INDIRECTO, INCIDENTAL, ESPECIAL O CONSECUENTE O DAÑOS EJEMPLARES, INCLUYENDO, ENTRE OTROS, DAÑOS POR PÉRDIDA DE BENEFICIOS, FONDO DE COMERCIO, USO, DATOS U OTRAS PÉRDIDAS INTANGIBLES, INCLUSO SI FIADO O SUS TERCEROS CONTRATADOS HAYAN SIDO ADVERTIDO DE LA POSIBILIDAD DE DICHOS DAÑOS, RESULTANTE DE: (I) EL USO O LA IMPOSIBILIDAD DE UTILIZAR LA PLATAFORMA O LOS SERVICIOS; (II) EL COSTO DE OBTENER SERVICIOS SUSTITUTOS, (III) CUALQUIER PRODUCTO, DATO, INFORMACIÓN O SERVICIO COMPRADO U OBTENIDO, O MENSAJES RECIBIDOS O TRANSACCIONES REALIZADAS A TRAVÉS DE O DESDE LA PLATAFORMA; (IV) ACCESO NO AUTORIZADO O ALTERACIÓN DE SUS TRANSMISIONES O DATOS; (V) DECLARACIONES O CONDUCTA DE ALGUIEN EN LA PLATAFORMA; (VI) EL USO, LA IMPOSIBILIDAD DE USO, EL USO NO AUTORIZADO, EL FUNCIONAMIENTO O EL INCUMPLIMIENTO DE CUALQUIER SOFTWARE DE TERCEROS, INCLUSO SI FIADO Y SUS TERCEROS CONTRATADOS FUERON ADVERTIDOS PREVIAMENTE DE LA POSIBILIDAD DE DICHOS DAÑOS; O (VII) CUALQUIER OTRO ASUNTO RELACIONADO CON LOS SERVICIOS.
15.4. Indemnización. Usted acepta proteger y compensar por completo a Fiado y sus Afiliados por cualquier reclamo, responsabilidad, daños, gastos y costos de terceros (incluidos, entre otros, los honorarios razonables de abogados) causados por su uso de la Aplicación Pay ConFiado o que surjan de este, o de la Plataforma y los Servicios, su violación de estos términos o su infracción (o la infracción por parte de cualquier otro usuario de sus Credenciales de usuario o Cuenta de Fiado) de cualquier propiedad intelectual u otro derecho de cualquier persona.
16. Resolución de conflictos.
16.1. Esfuerzo de buena fe para cooperar. Antes de que se inicie cualquier reclamo o disputa en un procedimiento formal, usted y Fiado acuerdan intentar evitar los costos de la resolución formal de disputas dándose una oportunidad completa y justa para abordar y resolver el reclamo o disputa de manera informal y amistosa. 17. Acuerdo completo. Este Acuerdo expresa el acuerdo completo entre usted y Fiado, y reemplaza todos los acuerdos anteriores, orales o escritos, en cuanto a su objeto.
18. Invalidez. Si alguna disposición de este Acuerdo se considera inválida o inaplicable, las disposiciones restantes permanecerán en pleno vigor.
19. Modificaciones. Fiado puede modificar este Acuerdo de vez en cuando y, salvo que la ley exija lo contrario, sin la obligación de proporcionarle un aviso previo de dicha acción. La versión actual de este Acuerdo y de cualquier otro acuerdo o divulgación entre usted y Fiado se puede ver en las Aplicación Pay ConFiado. 0. Introduction
0.1. The terms and conditions of this document (and other documents referenced here) govern any access to, interaction with, or use of Fiado’s websites, Pay ConFiado App, technology platform, and other intellectual property, as well as access to the Services. All capitalized terms used in this Agreement are defined in the section titled “Definitions” below, or in the text of the section to which those terms apply.
0.2. The Services accessed from the Platform are governed by the Terms & Conditions of Pay ConFiado, found here, or the Terms & Conditions of Vende ConFiado, found here, or the Términos y Condiciones – FIADO SA, found here (collectively, the “Total Services T&C”). In the event of a conflict between this Agreement and any of the aforementioned Total Services T&C, the terms and conditions of the Total Services T&C will govern and prevail.
0.3. This Agreement includes your agreement to terms and conditions with Fiado, Inc., with regards to Services based in the United States of America. Terms and conditions of Services based in other countries, although those are also accessed through the Pay ConFiado App, are set forth, where applicable, in other agreements between you and Fiado Affiliates in those countries. Those other agreements, among other communications between Fiado and you, are accessible in the Pay ConFiado App. Your continuing eligibility to use the Services is expressly conditioned upon your compliance with the terms and conditions of your agreements, if any, with Fiado Affiliates; breach of any of those agreements with Fiado Affiliates may also be deemed a breach of this Agreement. Any other reference in these Fiado App Terms & Conditions to the Services based in other countries or your agreements, if any, with Fiado Affiliates, are for information only.
0.4. CLICK-THROUGH AGREEMENT. Please read this Agreement carefully before you start to use the Pay ConFiado App, the Platform, or the Services. By accessing, using, or installing any part of the Pay ConFiado App; or by clicking the button in the Pay ConFiado App indicating your acknowledgement and acceptance of the terms of this Agreement; or by accessing or using the Platform or the Services, you represent that you have been given the opportunity to read this Agreement, that you understood it, and you expressly agree to and consent to be bound by all of the terms of this Agreement. If you do not want to agree to this Agreement, you must not apply to be a Fiado User, create Fiado User Credentials, or access or use the Services offered on the Platform; nor download, access, use, or install the Pay ConFiado App.

Términos y Condiciones – FIADO SA (Terms and Conditions – FIADO SA)
1. Identification of parties
1.1. “User” or “you” (and “your”) means you, as user of the Services (especially, but not limited to the Pay ConFiado App, and as responsible party for people whom you invite and authorize to participate in certain of the Services under your responsibility.
1.2. “Fiado” means Fiado, Inc. and any of its Affiliates, as may apply.
2. Definitions
2.1. “Account” or “Accounts” means (i) one or more bank accounts, denominated in US Dollars, established in the US by Fiado, Inc. and you, in which your funds are held, are made available for use within the Services, and from which you request and authorize Fiado, Inc. to pay for Services based in other countries.
2.2. “Affiliates” means entities under the control of Fiado, Inc. (including Fiado SA).
2.3. “Agreement” means these Pay ConFiado App Terms & Conditions.
2.4. “App” means a smartphone application (for Apple or Android smartphones) that is a user interface between you and Fiado. These may include, without limitation, the Pay ConFiado App. Under no circumstances may you access any of the Apps or use the corresponding Services when you are physically present in any country that is, at that moment, included in the “Active Sanctions Programs” of the US Treasury Office of Finance and Asset Control (OFAC). The list of those countries can be found here.
2.5. “Pay ConFiado App” is the App that allows you, as an individual consumer to use the Services for which you are an eligible and approved Fiado User.
2.6. “Fiado, Inc.” means FIADO, INC. the US corporate entity that owns and manages: the Pay ConFiado App; the Platform; the brands, service marks, trademarks, trade dress, logos, and all other intellectual property that is involved in the provision of the Services; and all Services based in the US.
2.7. “Fiado SA” means FIADO S.A DE C.V., the Affiliate that provides all Services based in Mexico.
2.8. “Fiado User” is the status you receive once Fiado approves your request to access the Pay ConFiado App. Fiado reserves the right, in its exclusive discretion, to approve or deny any request to become a Fiado User, for any reason.
2.9. “Platform” means the technology platform developed, owned, and managed by Fiado, Inc. which you access from the Pay ConFiado App.
2.10. “Services” means all of the functions and features of the services for which you are eligible and approved, provided to you by Fiado, once you are approved as a Fiado User. Depending on your Fiado User Credentials, you may be eligible to use Services corresponding to the Pay ConFiado App. The Services based in the US will be provided by Fiado, Inc., its Affiliates, vendors, or partners; Services based in Mexico will be provided by Affiliates of Fiado, Inc. in Mexico, including Fiado SA, and their respective vendors or partners; and Services based in other countries will be provided by Affiliates in those countries, and their respective vendors or partners. Details about individual Services can be found in the Total Services T&C and the other agreements between you and Fiado, Inc. or its Affiliates, all of which can be accessed on the Pay ConFiado App.
3. Creating Fiado User Credentials and applying to become a Fiado User
3.1. When you are applying to become a Fiado User, the Pay ConFiado App will collect necessary information to identify you and to verify your identity, and Fiado may, from time to time, request additional information or re-verify the information you have already provided.
3.2. The initial information collected may include, without limitation: your complete legal name (as it appears on your government-issued identification documents); your wireless/cellular/mobile phone number; your date and country of birth; the geolocation of the device you are using to access the Platform; biometric data (such as photos or videos of your face for facial recognition, recordings of your voice for voice recognition); unique government-issued identification numbers; and photos or scans of your government-issued identification documents. This information will be stored as encrypted data on Fiado’s Platform for as long as you remain a Fiado User, or for as long as may be required under Fiado’s documents retention policy, or as required by law.
3.3. You represent and warrant that:
3.3.1. The Fiado User Credentials you provide to Fiado when applying to become a Fiado User and at all other times will be true, accurate, current, and complete. If your information changes, ESPECIALLY YOUR WIRELESS/CELLULAR/MOBILE TELEPHONE NUMBER, you must promptly update your information with Fiado, either on the Pay ConFiado App, or by contacting Customer Care. Failure to update your information may be a material breach of this Agreement and may impact your use of the Platform and Services or result in the suspension or termination of your status as a Fiado User and closure of your Account.
4. Access to Your Device. The Pay ConFiado App may request to access various functions of your computer, tablet, or wireless/cellular/mobile device (for example, the built-in camera, microphone, or GPS). You agree to grant access in all cases.
5. Push Notifications. By accepting and agreeing to this Agreement, you agree to receive push notifications from us on your wireless/cellular/mobile device or internet browser.
6. Updates. From time to time, Fiado may automatically update the version of the Pay ConFiado App (“Updates”) on any device(s) you are using to access them. Updates may contain, without limitation, bug fixes, patches, enhanced functionality, plug-ins, and new versions of the Pay ConFiado App. By installing the Pay ConFiado App, you authorize the automatic download and installation of updates and agree to download and install updates manually if necessary. You also acknowledge and agree that you will use the most recent versions of the operating system and drivers for each and every device you use to access the Platform.
7. User Conduct. You agree that you are responsible for your own conduct while using the App(s), Platform, or Services and for any consequences arising from your conduct. Likewise, you are responsible for the conduct of anyone whom you allow to use the Pay ConFiado App, Platform, Services, or your Fiado User Credentials, either knowingly or negligently. You agree to use the Pay ConFiado App, Platform, and Services only for purposes that are legal, proper, respectful, and in accordance with this Agreement, the Total Services T&C, any other agreements between you and Fiado, and with any applicable laws, regulations, rules, policies, or guidelines (including any usage rules set forth in the online application stores – for example, Apple App Store and Google Play – terms of service, from time to time). By way of example, and without limitation, you agree that when using the Pay ConFiado App, Platform, or Services, you will not: (i) enter, store, or transmit any information or material that may impair, overburden, damage, disable, compromise, interfere with, or disrupt the integrity or performance of the Pay ConFiado App, or Platform, or of any other party’s use and enjoyment of the Platform, the Services, or the Pay ConFiado App; or of the services and products of any third parties including, without limitation, any device through which you access the App or (ii) use any robot, spider, site search/retrieval application, or other device or method to retrieve, extract, index, copy, or embed any portion of the Pay ConFiado App, or Services, or collect information regarding any of them or regarding any authorized user of any of them, or regarding any customer, partner, or third-party contractor of Fiado, for any unauthorized purpose.
8. Language. This Agreement and other documents provided to you by Fiado from time to time will be provided in English and in Spanish. For terms pertaining to Services based in the US, the Pay ConFiado App, or any of the intellectual property related to any of them, the English version controls, and any discrepancy or conflict between the English version and the Spanish version will be resolved giving preference to the English version.
9. Governing Law and Jurisdiction
9.1. This Agreement shall be governed by and construed in accordance with the laws of the State of New York, United States of America without giving effect to the conflict of laws principles thereof.
9.2. Any disputes or claims arising out of this Agreement shall be heard in arbitration or in a court having jurisdiction in the City and State of New York, United States of America.
10. Reservation of Rights. As allowed by law, Fiado may add or remove, suspend, terminate, temporarily disable, or permanently discontinue any and all functionality, or impose conditions on the Pay ConFiado App, the Platform, or any feature or aspect of a Service, at any time without notice and with no liability to you. Fiado will take reasonable steps to notify you of such changes; however, if the change is made for security purposes, Fiado can implement such change without prior notice. In addition to push notifications sent to your wireless/cellular/mobile device, emails sent to the email address you provided in your Fiado User Credentials (if any), or printed mail delivered to the residential address provided by you, notifications, and the most current versions of all agreements and disclosures provided to you by Fiado are available for your review on the Pay ConFiado App.
11. Intellectual Property Rights.
11.1. You hereby acknowledge that Fiado, Inc. owns all rights, title, and interest in and to the Pay ConFiado App, the Platform (collectively, for the purposes of this section, the “Software”), and to any and all proprietary and confidential information contained therein which are protected by applicable US and international laws (and treaties pertaining to them), including, without limitation, patent law, copyright law, trade secret law, trademark law, and unfair competition law, and any and all applications, renewals, extensions, and restorations thereof, now or hereafter in force and effect worldwide. Unless Fiado expressly consents in writing, you agree that you will not (and will not allow any third party to) (i) modify, adapt, translate, or prepare derivative works from (e.g., screen scraping), or decompile, reverse engineer, reverse compile, or disassemble the Software, or otherwise attempt to derive source code from the Software; (ii) copy, embed, distribute, transfer, sell, or license the Software; (iii) take any action to circumvent, compromise, or defeat any security measures implemented in the Software; (iv) remove, obscure, or alter Fiado’s (or any third party’s) proprietary rights notices in the Software.
11.2. The Fiado names and logos are service marks or trademarks of Fiado, Inc., and may not be copied, imitated, or used, in whole or in part, without the prior written permission of Fiado, Inc. In addition, all page headers and page footers, custom graphics, button icons, and scripts found in the Software are service marks, trademarks, or trade dress of Fiado, Inc., and may not be copied, imitated, or used, in whole or in part, without the prior written permission of Fiado, Inc.
12. Confidentiality and Privacy Policy
12.1. Fiado acknowledges that your personally identifiable information (including financial, biometric, and other identity information) needs to be kept confidential and that US federal (for example, the Gramm-Leach-Bliley Act) and state laws and regulations require us to protect that information in various ways. Fiado’s confidentiality obligations to you and privacy policies are contained in the Privacy Policy of Pay ConFiado, which is incorporated herein by reference.
13. Security. You agree: (i) not to knowingly or through your negligence allow anyone else access to your Fiado User Credentials or your Account(s), (ii) you will ensure that anyone granted access to the Platform, Pay ConFiado App, or Services under your authority will not knowingly or through their negligence allow anyone else access to your or their Fiado User Credentials or your Account(s); and (iii) you will be solely responsible for any activities or actions taken because of such access as a result of your breach of this obligation. Please notify us immediately of any suspected unauthorized use of or access to your Fiado User Credentials or your Account(s).
14. Suspension and Termination.
14.1. Fiado reserves the right to suspend, revoke, or terminate your status as a Fiado User, your Fiado User Credentials, and your access to the Platform and the Services at any time and for any lawful reason, without the obligation to provide to you advance notice or explanation of such action.
14.2. You may cancel this Agreement through the Pay ConFiado App or by contacting Customer Care. Your termination of any Fiado User Credentials or Account(s) will not affect any of Fiado’s rights or your obligations arising under this Agreement or any other agreement between you and Fiado prior to termination.
14.3. Suspension, revocation, or termination of your status as a Fiado User, for any reason, will result in the suspension or termination of the status of anyone granted access to the Platform, Pay ConFiado App, or Services under your authority, unless they become qualified and approved as Fiado Users independently.
15. Disclaimer
15.1. YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE PAY CONFIADO APP, PLATFORM, AND SERVICES IS AT YOUR SOLE RISK AND UNDER NO CIRCUMSTANCES WILL FIADO BE LIABLE FOR (AND YOU RELEASE FIADO FROM, AND WAIVE ANY RIGHTS TO BRING ANY CLAIMS FOR, ANY LIABILITIES ARISING FROM) ANY CODE OR CONTENT THEREIN, INCLUDING ANY ERRORS OR OMISSIONS IN ANY CODE OR CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE PAY CONFIADO APP OR THE PLATFORM.
15.2. THE SERVICES AND CONTENT (INCLUDING THAT OF THIRD PARTIES) AND ALL MATERIALS, INFORMATION, PRODUCTS, AND SERVICES INCLUDED THEREIN, ARE PROVIDED FOR YOUR CONVENIENCE ONLY ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. FIADO EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, RELATING TO THE SERVICES AND CONTENT, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FIADO AND ITS CONTRACTED THIRD PARTIES MAKE NO WARRANTY, REPRESENTATION, OR GUARANTEE THAT (I) THE PAY CONFIADO APP OR SERVICES WILL MEET YOUR REQUIREMENTS, (II) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED BY OR OBTAINED BY YOU THROUGH YOUR USE OF THE SERVICES WILL MEET YOUR EXPECTATIONS, OR (V) ANY ERRORS IN THE TECHNOLOGY WILL BE CORRECTED. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR WIRELESS/CELLULAR/MOBILE DEVICE OR COMPUTER SYSTEM, OR FOR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM FIADO OR ANY OF ITS CONTRACTED THIRD PARTIES, THROUGH OR FROM THE PLATFORM, WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
15.3. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT NEITHER FIADO NOR ITS CONTRACTED THIRD PARTIES NOR ANY OF THEIR RESPECTIVE AFFILIATES OR AGENTS, WILL BE LIABLE FOR ANY HARMS, WHICH LAWYERS AND COURTS OFTEN CALL DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF FIADO OR ITS CONTRACTED THIRD PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, RESULTING FROM: (I) THE USE OR THE INABILITY TO USE THE PLATFORM OR THE SERVICES; (II) THE COST OF GETTING SUBSTITUTE SERVICES, (III) ANY PRODUCTS, DATA, INFORMATION, OR SERVICES PURCHASED OR OBTAINED, OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO, THROUGH, OR FROM THE PLATFORM; (IV) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (V) STATEMENTS OR CONDUCT OF ANYONE ON THE PLATFORM; (VI) THE USE, INABILITY TO USE, UNAUTHORIZED USE, PERFORMANCE, OR NON-PERFORMANCE OF ANY THIRD-PARTY SOFTWARE, EVEN IF FIADO AND ITS CONTRACTED THIRD PARTIES WERE ADVISED PREVIOUSLY OF THE POSSIBILITY OF SUCH DAMAGES; OR (VII) ANY OTHER MATTER RELATING TO THE SERVICES.
15.4. Indemnification. You agree to protect and fully compensate Fiado and Affiliates from any and all third-party claims, liability, damages, expenses, and costs (including but not limited to reasonable attorney’s fees) caused by or arising from your use of the Pay ConFiado App, the Platform, and the Services, your violation of these terms, or your infringement (or infringement by any other user of your Fiado User Credentials or Account) of any intellectual property or other right of anyone.
16. Dispute Resolution.
16.1. Good Faith Effort to Cooperate. Before any claim or dispute is commenced in a formal proceeding, you and Fiado agree to attempt to avoid the costs of formal dispute resolution by giving each other a full and fair opportunity to address and resolve the claim or dispute informally and amicably. Both parties recognize that this is an important requirement, and that breach of this requirement would be a material breach of this Agreement. To provide this opportunity, before commencing any arbitration or suit, each party agrees to send to the other party a written notice of the claim or dispute, providing sufficient detail to allow the party receiving the notice to address the substance of the claim or dispute and to propose steps to resolve the same. Any notice to Fiado should be sent according to the section “Contact Us” below, or as is provided on the Pay ConFiado App. Any notice sent to you will be sent by one or more of the following methods: (i) by email to the email address provided in your Fiado User Credentials, if any; (ii) by printed mail to the physical address provided in your Fiado User Credentials; (iii) by SMS text message to your wireless/cellular/mobile phone, (iv) by live, pre-recorded, or automatic telephone call to the wireless/cellular/mobile phone number you provided in your Fiado User Credentials, or (v) via secure messaging application (e.g., WhatsApp). If no informal resolution is reached within sixty (60) calendar days after the notice is given, you and Fiado agree that the dispute will be submitted to binding arbitration by a single neutral arbitrator administered by the American Arbitration Association.
16.2. ANY ARBITRATION UNDER THIS AGREEMENT WILL ONLY BE ON AN INDIVIDUAL BASIS; CLASS ARBITRATIONS, CLASS ACTIONS, REPRESENTATIVE ACTIONS, AND CONSOLIDATION WITH OTHER ARBITRATIONS ARE NOT PERMITTED. YOU WAIVE ANY RIGHT TO HAVE YOUR CASE DECIDED BY A JURY AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION AGAINST FIADO.
17. Entire Agreement. This Agreement expresses the entire agreement between you and Fiado, and it supersedes all prior agreements, oral or written, as to its subject matter.
18. Invalidity. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force.
19. Modifications. Fiado may modify this Agreement from time to time and, except as otherwise required by law, without the obligation to provide to you advance notice of such action. The current version of this Agreement and of any other agreements or disclosures between you and Fiado can be viewed on the Pay ConFiado App. By accessing or using the Pay ConFiado App, the Platform, or the Services following the effective date of any modification, you accept and agree to be bound by the terms and provisions of such modification, regardless of whether or not you were aware of the revisions.
